These Terms govern access to and use of Chatric. By creating an account, connecting a data source, or using the Service, you agree to these Terms. If you act on behalf of an organization, you represent you have authority to bind it; “Customer” refers to that organization and its Users.

1. The Service & Roles

1.1 What Chatric does. Chatric connects to Customer-selected systems (e.g., GA4, Google Ads, Meta, Shopify/WooCommerce, BigQuery, Hightouch) and uses AI to answer questions and generate insights.
1.2 GDPR roles. For Customer Data processed via connections you configure, Swavvy AB acts as processor under the Data Processing Addendum (DPA) (incorporated by reference). For account/ops/billing, Swavvy AB acts as controller (see Privacy Policy).
1.3 Hosting & auth. App infrastructure runs in GCP europe-west1 (EU). Firebase Authentication is used for sign-in; auth data may be processed outside the EEA—see Privacy Policy and Sub-processor Page.

2. Accounts & Eligibility

2.1 Minimum age. At least the local digital age of consent (typically 16 in the EEA) and legally able to contract.
2.2 Registration. Provide accurate info and keep credentials confidential. Customer is responsible for actions under its accounts.
2.3 Admins & seats. Customer manages user provisioning, permissions, and security (SSO/MFA where enabled).

3. Acceptable Use

No unlawful use, infringement, scraping, malware, security bypass, or abusive behavior. Do not upload special-category data (GDPR Art. 9), children’s data, card numbers, passwords, medical or precise geolocation data unless permitted by law and a written agreement with us. We may suspend to protect the Service, comply with law, or address risk.

4. Customer Data, Privacy & DPA

4.1 Ownership. Customer retains rights to Customer Data (data connected/uploaded, including prompts/outputs and “conversion history”).
4.2 Processor role. We process Customer Data only per Customer’s instructions and the DPA (deletion/return, security, breach notice, assistance with rights).
4.3 No training by default. We do not use Customer Data to train models unless Customer opts in.
4.4 Privacy. Our Privacy Policy covers controller-side data, cookies, transfers, and rights.
4.5 Integrations. Platforms like Meta and Shopify are typically independent controllers; Customer is responsible for lawful connections and configuration.

5. AI Outputs & Reliance

5.1 Nature. AI can be inaccurate or incomplete; human review is required.
5.2 No regulated advice. Not a substitute for legal, medical, financial, or other professional advice.
5.3 Use of outputs. Subject to law and third-party rights, Customer may use outputs generated for its prompts for lawful business purposes.

6. Plans, Usage, Fees & Taxes

6.1 Plans & caps.
(a) Chatric Free — $0/month. 25 messages/month; up to 3 data sources; 1 account per source.
(b) Chatric Basic — $24/month or $228/year (prepaid). 150 messages/month; up to 4 data sources; 3 accounts per source.
(c) Chatric Premium — $89/month or $948/year (prepaid). Unlimited messages, data sources, and accounts (subject to Acceptable Use and technical limits).
Plan features/limits are shown here and in-app. We may update plans with notice; material reductions take effect next billing cycle.

6.2 Fees & taxes (standard SaaS practice). Fees are due in advance of each billing period (monthly or yearly, as selected). Prices are exclusive of taxes; Customer is responsible for VAT and other applicable taxes.

6.3 Auto-renewal. Subscriptions auto-renew for successive monthly or yearly terms unless cancelled before renewal. Cancellation takes effect at the end of the then-current paid term.

6.4 Upgrades & downgrades. Upgrades take effect immediately; we pro-rate any surplus time/value toward the new plan. Downgrades apply from the next renewal.

6.5 Overages. Free/Basic are soft-capped: on reaching the monthly message cap we may throttle; further use is blocked until the next cycle or an upgrade. No automatic overage billing.

6.6 Non-payment. We may suspend or downgrade after reasonable notice for late/failed payments.

6.7 Refunds. Unless required by law, fees are non-refundable once a billing period starts (including annual prepayments).

7. Support & SLA

Support channels: info@chatric.ai or support@swavvy.se.
We aim to respond within 7 days (business hours, CET). No uptime or response-time credits unless agreed in an enterprise addendum.

8. Security

Industry-standard measures: encryption in transit/at rest, least-privilege access, audit logging, incident response. Session cookie is HttpOnly, Secure, SameSite; tokens are stored server-side and encrypted (KMS). See Privacy Policy and DPA.

9. IP Rights

Our IP remains ours. We grant a limited license to use the Service during the term. Customer grants us a limited license to process Customer Data solely to provide the Service. Feedback may be used to improve the Service.

10. Third-Party Services

Use of Google, Meta, Shopify, etc., is governed by their terms/privacy. We are not responsible for those services. Customer chooses connections and controls what is shared.

11. Confidentiality

Each party protects the other’s Confidential Information with reasonable care and uses it only for these Terms.

12. Warranties & Disclaimers

Authority warranty by both parties. The Service is provided “as is”/“as available”; we disclaim implied warranties to the maximum extent permitted.

13. Limitation of Liability

No indirect/special/consequential damages or loss of profits/data. Our aggregate liability is capped at fees paid in the 12 months preceding the claim (or $100 for free plans). Statutory liabilities that cannot be limited are excluded from the cap.

14. Indemnities

Customer indemnifies us for unlawful data/use, platform-term violations, and third-party claims arising from Customer content. We provide standard IP infringement indemnity (defense/settlement) or may modify/replace/terminate with pro-rated refund.

15. Term, Suspension & Termination

Terms apply until terminated. We may suspend for security/law/AUP. Either party may terminate for material breach after 30 days’ notice and opportunity to cure. Customer may terminate anytime; effect at period-end unless otherwise agreed. Export window provided; then deletion per DPA/Privacy Policy.

16. Changes

We may update features or Terms. Material changes are notified in-app or by email and effective on the stated date. Continued use = acceptance.

17. Order of Precedence

Order Form/Plan terms (if any) → DPA → these Terms → Privacy Policy → Cookie Policy → Sub-processor Page.

18. Miscellaneous

Governing law: Sweden; venue: Stockholm. No assignment without consent (except affiliate/M&A with notice). Force majeure applies. Notices by email/in-app; legal notices to info@chatric.ai. Export/sanctions compliance required. Severability/waiver customary. Entire agreement as stated.

Definitions

  • “Customer Data”: data you or your Users connect, upload, or generate via the Service (including prompts, outputs, events, orders, and metadata) for which we act as processor under the DPA.

  • “User”: an individual authorized by Customer to use the Service.

  • “DPA”: our data processing addendum complying with Art. 28 GDPR (available from us and incorporated by reference).

  • “Sub-processor Page”: the public page listing our processors and transfer safeguards.
